Terms of Service

1. Provider

Paxlify is operated by TOURCLOUD S.A.C., RUC 20605209646, Lima, Peru. In these Terms of Service, “Paxlify,” “we,” “us,” and “our” refer to TOURCLOUD S.A.C.

2. Acceptance of terms

By accessing or using the Paxlify website, requesting information, submitting a form, starting a checkout flow, or using any related services we make available, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use Paxlify.

3. Eligibility and business use

Paxlify is intended for business and professional use by travel agencies, tour operators, DMCs and related organizations. You represent that you have the authority to act on behalf of yourself or the entity you represent when using Paxlify.

4. Services

Paxlify provides access to website content, commercial information, product demonstrations, onboarding flows and software-related services for travel operations management. We may modify, improve, suspend or discontinue any feature at any time, with or without notice, to the extent permitted by applicable law.

5. Account and information accuracy

If you submit information through Paxlify, you agree to provide accurate, current and complete information. You are responsible for the accuracy of submitted details and for maintaining the confidentiality of any credentials associated with your use of Paxlify.

6. Acceptable use

You agree not to:

• use Paxlify in violation of applicable law or third-party rights;
• interfere with, disrupt, probe or attempt unauthorized access to Paxlify, its infrastructure or related systems;
• submit false, misleading, fraudulent or abusive information;
• copy, reproduce, reverse engineer, scrape, frame or exploit Paxlify except as expressly permitted by law or by us in writing; or
• use Paxlify to transmit malicious code, spam or harmful content.

7. Commercial terms, subscriptions and payments

Pricing, subscription scope, implementation details and service inclusions may be described on the website, in a proposal, order form, checkout flow or separate commercial agreement. If there is any conflict between these Terms of Service and a separately executed agreement or accepted order, the separate agreement or order will control for that transaction.

Payments may be processed by authorized third-party providers or a merchant of record. You authorize the applicable provider to process charges in accordance with the selected plan, order or subscription terms presented to you at checkout.

8. Third-party services

Paxlify may rely on or link to third-party services for hosting, abuse prevention, communications, checkout, billing or related functionality. Your use of those third-party services may also be subject to their own terms and policies, and we are not responsible for third-party services beyond what is required by applicable law.

9. Intellectual property

Paxlify, including its website content, branding, software, interfaces, designs, documentation and related materials, is owned by or licensed to TOURCLOUD S.A.C. and is protected by applicable intellectual property laws. Except for limited rights necessary to access and use Paxlify as permitted, no rights or licenses are granted to you by implication or otherwise.

10. Feedback

If you provide suggestions, ideas or feedback relating to Paxlify, you grant us a worldwide, non-exclusive, royalty-free, transferable right to use, reproduce, adapt and incorporate that feedback without restriction or compensation.

11. Availability and disclaimers

We operate and maintain Paxlify using commercially reasonable care and are responsible for the maintenance and ongoing improvement of the software and related services we provide. However, availability and performance may be affected from time to time by scheduled maintenance, updates, internet connectivity issues, security events, or failures affecting third-party cloud, hosting, communications, security, or payment providers.

We work with reputable third-party infrastructure and technology providers to support reliable service delivery, but we do not guarantee uninterrupted or error-free availability at all times and are not responsible for outages, delays or degraded performance to the extent caused by third-party services or infrastructure outside our reasonable control.

12. Limitation of liability

To the maximum extent permitted by applicable law, TOURCLOUD S.A.C. will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenues, data, goodwill, business opportunities or anticipated savings arising out of or related to Paxlify.

To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to Paxlify will not exceed the amount paid by you to us for the applicable services during the twelve months preceding the event giving rise to the claim, or if no amount was paid, one hundred United States dollars (USD 100).

13. Indemnity

You agree to defend, indemnify and hold harmless TOURCLOUD S.A.C. from claims, liabilities, damages, losses and expenses arising out of your misuse of Paxlify, your violation of these Terms of Service, or your infringement of any rights of another person or entity.

14. Suspension and termination

We may suspend or terminate access to Paxlify if we reasonably believe you have violated these Terms of Service, created security or legal risk, or failed to meet applicable commercial obligations. Clauses that by their nature should survive termination will survive, including provisions on payments due, intellectual property, disclaimers, limitations of liability and dispute-related terms.

15. Governing law

These Terms of Service are governed by the laws of Peru, without regard to conflict of law principles. Unless otherwise required by applicable law or agreed in writing, the courts of Lima, Peru will have exclusive jurisdiction over disputes arising out of or relating to these Terms of Service or Paxlify.

16. Changes to these terms

We may update these Terms of Service from time to time. When we do, we will post the updated version on this page and revise the effective date above. Continued use of Paxlify after the updated Terms of Service become effective constitutes acceptance of the revised terms.
